Terms of Service
1. Agreement to these terms
These Terms of Service are an agreement between you and DataDock AI, Inc. (“DataDock AI,” “we,” “us”). They govern your access to and use of the DataDock AI website and the DataDock AI products Basin Reporting, Basin Research, and FilingFlow, together with any related documentation, APIs, and support (collectively, the “Services”). By accessing or using the Services, you agree to these terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to the organization.
Paid subscriptions are additionally governed by the order form or subscription agreement executed with DataDock AI. If these terms conflict with an executed agreement, the executed agreement controls.
2. Accounts and access
You must provide accurate registration information and keep it current. You are responsible for all activity under your account, for maintaining the confidentiality of your credentials, including API keys, and for ensuring that only authorized members of your organization access the Services. Notify us promptly at contact@datadock.ai if you believe an account or credential has been compromised.
3. Acceptable use
You may use the Services only as permitted by law and by these terms. You agree not to: (a) resell, sublicense, or provide the Services to third parties except as expressly permitted in your agreement; (b) reverse engineer, decompile, or attempt to extract the source code, models, or underlying data of the Services; (c) circumvent usage limits, authentication, or security controls; (d) use the Services to develop a competing product; (e) submit content that infringes the rights of others or that you lack the right to provide; or (f) use automated means to scrape or bulk-extract content outside documented API access.
4. Your content
You retain all rights in the documents, data, questions, and other content you submit to the Services (“Customer Content”). You grant DataDock AI a limited license to host, process, and display Customer Content solely to provide and support the Services for you. We do not share Customer Content across tenants, use it to serve other customers, or sell it. You are responsible for having the rights and consents needed to submit Customer Content.
5. DataDock AI property
DataDock AI and its licensors retain all right, title, and interest in the Services, including software, interfaces, documentation, trademarks, and all improvements. Except for the limited rights expressly granted to you, no rights are transferred. Feedback you choose to provide may be used by DataDock AI without obligation to you.
6. Third-party and regulatory data
The Services present information derived from regulatory filings, statutes, and other public and licensed sources. Such information is provided as filed or published by its source. DataDock AI does not control and is not responsible for the accuracy or completeness of third-party or governmental source material.
7. Professional responsibility
The Services assist regulated professional work. They do not provide legal, tax, accounting, audit, or investment advice, and no output constitutes such advice. Outputs are prepared for review by qualified professionals, who remain solely responsible for evaluating them and for all final work products, filings, and decisions. Use of the Services does not create a professional-client relationship with DataDock AI.
8. Fees and payment
Fees, billing periods, and payment terms for paid subscriptions are set out in the applicable order form. Unless stated otherwise there, fees are payable in U.S. dollars, are non-refundable except as required by law or expressly agreed, and are exclusive of taxes, which you are responsible for.
9. Term, suspension, and termination
These terms apply while you use the Services. We may suspend or terminate access for material breach, for security reasons, or where required by law, and will use reasonable efforts to notify you. On termination, your right to use the Services ends and we will make Customer Content available for export for a reasonable period, after which it is deleted in accordance with our retention practices.
10. Disclaimers
Except as expressly stated in an executed agreement, the Services are provided “as is” and “as available.” DataDock AI disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Services will be uninterrupted, error-free, or that outputs will be accurate or complete.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Except for your payment obligations and either party’s breach of confidentiality, each party’s total liability arising out of the Services is limited to the fees paid or payable by you in the twelve months preceding the claim.
12. Changes to the Services or these terms
We may modify the Services and these terms from time to time. Material changes to these terms will be posted on this page with an updated date, and where required we will provide additional notice. Continued use of the Services after changes take effect constitutes acceptance.
13. Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally. Courts located in Delaware have exclusive jurisdiction over disputes not resolved informally, and each party consents to their jurisdiction.
